Terms of Service

Effective June 27, 2026

1. Acceptance

By creating a paredown account or using any paredown service you agree to these Terms. If you do not agree, do not use paredown.

2. The Service

paredown is an AI-assisted cloud cost analysis tool. It connects to your AWS account with read-only credentials (by default), detects idle or over-provisioned resources, and surfaces remediation suggestions. Certain actions such as stopping instances, releasing Elastic IPs, or setting log-retention policies are mutating operations that you explicitly authorize before we run them.

We do not guarantee savings estimates. Forecasts are based on AWS public pricing and historical usage data and may differ from your actual bill.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and API tokens. You must be at least 18 years old to use paredown. You agree not to share credentials, create accounts on behalf of others, or use the service for any unlawful purpose.

4. AWS Credentials and Data

You grant paredown permission to read cost, resource, and configuration data from your AWS account using the IAM role you provision. Credentials are encrypted at rest and never logged. We access your AWS account only to provide the service and will not share your data with third parties except as described in the Privacy Policy.

You are responsible for all actions taken in your AWS account, including any changes applied through paredown. Always review findings before applying fixes. Use the 24-hour rollback window in Change History if you need to reverse an action.

5. Acceptable Use

You agree not to:

  • Reverse-engineer or attempt to extract our AI models or proprietary detection logic
  • Use the service to access AWS accounts you do not own or are not authorized to manage
  • Attempt to overload, disrupt, or probe our infrastructure
  • Resell or sublicense access to the service without written permission

6. Subscription and Payment

Paid plans are billed monthly or annually via Stripe. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial periods. Free plans may be modified or discontinued with 30 days notice.

7. Intellectual Property

paredown and all associated software, logos, and content are owned by paredown and its licensors. You may not use our name, logo, or branding without written permission. We claim no ownership over your AWS data or your proprietary application code.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. PAREDOWN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAREDOWN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, DATA, OR AWS RESOURCES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Changes to These Terms

We may update these Terms. We will notify you by email and/or in-app notice at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts of Delaware.
